Purpose and Scope
The purpose of this role is to take on full accountability for the tax function within the Gas & Related Services (GRS) business unit. The AVP, Tax will manage the full spectrum of tax compliance, reporting, and advisory for GRS. This role is required to ensure all GRS tax compliance and obligations, tax structuring and arrangements are fully aligned and supported by Group Tax and compliant with relevant tax laws and regulations.
Key Roles and Responsibilities
- Full Tax Ownership for GRS: Supported by Shared Finance Services, and FPA team, would own end-to-end accountability for all tax matters relating to the GRS business unit portfolio. The tax types covered includes specifically Corporate Income Tax, GST/VAT, Transfer Pricing, property tax and Withholding Taxes, etc. across all jurisdictions in which GRS operates. Ensure timely and accurate tax compliance, reporting, and filings, while driving consistency in tax accounting policies and practices across GRS entities. Proactively monitor regulatory developments, assess tax risks and opportunities, and implement robust controls to ensure alignment with both local regulations and Group-wide tax frameworks. Maintain appropriate tax controls and proper segregation of duties between all parties involved in managing GRS tax compliance.
- Tax DD and Structuring: Lead and support tax due diligence efforts for new investments, mergers & acquisitions (M&A), divestments, and joint ventures. Evaluate historical tax exposures, identify potential risks and deal breakers, and quantify tax liabilities. Recommend appropriate mitigative measures to manage or eliminate the potential tax risks and exposures. Partner closely with business, legal, and finance teams to develop and recommend tax structures aligned with substance and commercial objectives while safeguarding against tax leakage and post-transaction risks.
- Strategic Tax Advisory: Provide tax advisory support on cross-border investments, project financing structures, and joint venture arrangements. Advice on tax-efficient structuring of equity injections, shareholder loans, and intercompany service arrangements across GRS markets. Identify, assess, and mitigate transfer pricing risks, including permanent establishment exposure and profit attribution and profit repatriation complexities. Support business expansion initiatives by embedding tax considerations early in project planning to optimize overall returns. Ensuring the tax structures and arrangements are aligned and approved by Sembcorp Group Tax prior to finalization. Responsible to prepare responses to tax queries raised and tax audit support for GRS entities.
- Group Tax Alignment & Communication: Act as the primary liaison between the GRS business unit and the Sembcorp Group Tax function. Foster strong collaboration and maintain proactive communication to ensure local tax strategies, positions, and M&A structuring initiatives are fully aligned with Group tax policies, governance standards, and risk management frameworks. Provide regular updates on tax developments, risks, and opportunities, and facilitate timely escalation and resolution of complex tax matters.
