Legal Counsel, M&A & Transactions

THE ROLE

We are seeking an experienced Legal Counsel for a global company in Basel, Switzerland. The successful candidate will be instrumental in supporting an Associate General Counsel and the wider legal team through a period of significant transactional activity, including a major divestment. The role spans corporate governance, M&A and transactions work. A solid foundation in corporate law and M&A is crucial for this position. Swiss legal qualification as well as English fluency is mandatory and French proficiency is a distinct advantage.

KEY RESPONSIBILITIES

• Support corporate governance matters, including board and shareholder documentation, entity management and related workstreams
• Assist with key elements of M&A transactions, including structuring, due diligence, and overseeing signing and closing processes
• Provide support on the legal separation and post-transaction integration arising from the divestment of a business unit
• Collaborate with external counsel on transaction documentation and due diligence matters
• Draft, review, and negotiate transaction and corporate documents; work closely with business units and regional legal teams
• Provide hands-on support to the Associate General Counsel and the corporate and transactions team

YOUR PROFILE

• Swiss-qualified lawyer with experience in-house or at a law firm, practicing corporate law in an international setting
• Knowledge and experience across corporate governance, M&A and transactions, ideally within a life sciences or regulated environment
• Proven track record of managing matters independently, with strong project management skills
• Fluent in English, both written and spoken (the working language at the client); proficiency in French is highly preferred
• Excellent drafting, communication skills, and strong attention to detail
• Ability to navigate nuanced and complex international corporate structures
